Terms of Service

These Terms of Service ("Terms") govern your access to and use of CIX - Commerce Intelligence Experience (the "Service") operated by Signal X Studio ("we," "our," or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account or using the Service, you represent that:

  • You are at least 18 years old
  • You have the authority to enter into these Terms
  • Your use complies with all applicable laws and regulations

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

CIX (Commerce Intelligence Experience) is an enterprise AI transformation platform that helps organizations assess and develop their AI capabilities. The Service provides:

  • Access to 137 AI capabilities across 550 functions
  • AI-powered gap analysis and transformation recommendations
  • Semantic search for capability discovery
  • Community knowledge base for shared learning
  • Transformation journey tracking and progress visualization

We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

3. User Accounts

3.1 Account Creation

To use certain features, you must create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately of any unauthorized access to your account.

4. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use the Service for illegal, fraudulent, or harmful purposes
  • Post spam, offensive, or inappropriate content to the community
  • Harass or abuse other community members
  • Misrepresent your identity or affiliation
  • Share account access with unauthorized users

We may terminate or suspend your access for violations of these terms.

5. Intellectual Property

5.1 Our Intellectual Property

The Service, including its original content, features, capability frameworks, and functionality, is owned by Signal X Studio and protected by copyright, trademark, and other intellectual property laws.

5.2 Your Content

You retain ownership of content you submit to the Service ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and providing the Service.

5.3 Community Content

By posting content to the community knowledge base, you grant other users the right to view and learn from your contributions. You represent that you have the right to share any content you post.

5.4 Open Source License

CIQ is licensed under the MIT License. You may use, modify, and distribute the source code in accordance with that license. These Terms govern your use of our hosted version of the Service.

6. Third-Party Services and AI

6.1 Third-Party Integrations

The Service integrates with OpenAI for AI-powered features. Your use of such integrations is subject to those third parties' terms and policies.

6.2 Artificial Intelligence

The Service uses AI to provide transformation recommendations and capability analysis. You understand that:

  • AI recommendations are suggestions, not mandates
  • Capability assessments are based on your inputs and may not reflect complete reality
  • We do not control the AI providers' algorithms or outputs
  • You should exercise professional judgment when making transformation decisions

AI Output Disclaimer: AI-generated recommendations are provided for informational purposes only. We do not guarantee the accuracy, completeness, or suitability of AI outputs. You are responsible for evaluating any recommendations before implementing them in your organization.

7. Payment Terms

The Service may offer both free and paid tiers. If you subscribe to a paid plan:

  • You agree to pay all fees associated with your selected plan
  • Fees are billed in advance on a recurring basis
  • You authorize us to charge your payment method on file
  • Refunds are provided in accordance with our refund policy

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the practices described therein.

8.1 Data Security

  • Data is transmitted over encrypted connections (HTTPS/TLS)
  • Multi-tenant isolation is enforced via Row-Level Security
  • We implement industry-standard security practices

8.2 Data Ownership

You retain ownership of your data. We do not claim ownership of data you upload or generate through the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • AI recommendations will be suitable for your organization
  • Transformation results will match predictions

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNAL X STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to your data
  • AI recommendations that prove unsuitable
  • Transformation decisions made based on Service outputs
  • Community content posted by other users

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Signal X Studio and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content or community contributions

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature if available.

12.2 Termination by Us

We may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms or community guidelines.

12.3 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your account and data after a reasonable period
  • Community content you posted may remain visible
  • Provisions that by their nature should survive will survive termination

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles.

13.2 Informal Resolution

Before filing a claim, you agree to attempt to resolve disputes informally by contacting us at hello@signalx.studio.

13.3 Jurisdiction

Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Illinois, and you consent to the personal jurisdiction of such courts.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Signal X Studio regarding the Service.

14.2 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
